Eaton to buy Cooper Industries for $11.8 billion

(Reuters) - Diversified industrial manufacturer Eaton Corp struck a deal to buy electrical equipment maker Cooper Industries Plc for $11.8 billion in cash and stock and said it would shift its incorporation to Ireland to save on taxes.

The deal, Eaton's biggest ever, will allow the company to offer a broader range of electrical products, such as lighting and wiring devices, to markets ranging from mining to oil and gas and utilities, and help it expand in emerging markets while cutting costs, Eaton said.

The deal was the biggest of several announced on Monday. Analysts said acquisitions are one way for companies to grow in a sluggish global economy.

"It drives the point home that acquisitions are an increasingly important growth avenue in a slow-growth world," said analyst Matt Collins of Edward Jones. "Record low interest rates and solid balance sheets make it that much easier to get deals done."

Cleveland, Ohio-based Eaton will pay $72 per share for Cooper - $39.15 in cash and the rest in stock. Eaton shareholders will control almost three-quarters of the new Eaton Global Corp Plc, and administrative headquarters will remain in Ohio.

The pricing appears to be fair or "slightly expensive," valuing Cooper at 11.5 times projected earnings, JPMorgan analyst Ann Duignan said.

Cooper shares were up 26 percent at $70.24 in afternoon trading, the day's biggest gainer on the New York Stock Exchange. Eaton stock inched up 7 cents to $42.47.

Incorporating in Ireland will shave about $160 million off Eaton's annual tax bill, said Chief Executive Sandy Cutler, who will lead the combined company. But he said synergies, not tax reduction, were the primary motivation for the deal.

"It does afford us some global cash management and associated tax benefits, but (Irish incorporation) is really a byproduct of this transaction," Cutler told Reuters in an interview.

When Cooper incorporated in Ireland last decade, it was one of several U.S. industrial companies, including Ingersoll Rand and Tyco International , that picked either Ireland or Switzerland to help lower their taxes.

Re-incorporation is a legal move that rarely has any bearing on where a company's headquarters are located. U.S. companies have been re-incorporating in Ireland and Switzerland in recent years, instead of the offshore tax havens of Bermuda and the Cayman Islands, reasoning that Ireland and Switzerland offer better protection from U.S. tax claims than small countries that are more dependent on U.S. goodwill.

The tax component of the Eaton-Cooper deal is unique and is unlikely to be replicated by other companies, said Nicholas Heymann, co-group head of global industrial infrastructure at William Blair & Co in New York.

He said Cooper moved its incorporation to Ireland ahead of a change in U.S. tax laws that would have left it liable for a large tax bill.

Heymann said the deal sets up Cooper CEO Kirk Hachigian as a likely successor to Eaton's Cutler.

Cutler, in the interview, said it was not yet clear what role Hachigian would have in the combined company.

CONSOLIDATION

The deal could spur more consolidation in the electrical equipment industry. Increased demand for electronics and retrofits to improve energy efficiency is prompting multi-industry companies such as Eaton and ABB Ltd to expand their electrical equipment offerings.

Swiss engineering group ABB bought U.S. electrical components maker Thomas & Betts in January for $3.9 billion to ramp up its presence in the world's largest market for low-voltage products.

Analysts have said electrical products makers Hubbell Inc and Acuity Brands Inc could be attractive targets for industrial conglomerates such as France's Schneider Electric and Germany's Siemens AG .

More room for consolidation remains in the industry, said Shawn Severson, an analyst with JMP Securities. "The obvious one everyone is looking to is Hubbell. Hubbell is a mini Cooper - it's got a similar business mix."

Severson named Emerson Electric and Schneider as potential buyers.

COST SAVINGS

Century-old Eaton makes power systems for data centers, hydraulics used in machinery, and truck transmissions. It recorded 2011 sales of $16 billion. It has stepped up acquisitions in recent years, closing nine deals last year.

Cooper, based in Dublin, had 2011 sales of $5.4 billion, with most of its sales to utilities and industrial markets. Its products include safety systems, lighting, circuit protectors and wiring devices used in homes and commercial buildings.

The Cooper acquisition will reduce Eaton's costs by $260 million a year by 2016, while adding $115 million a year to revenue, Eaton said.

The deal is expected to close in late 2012, Cutler said. The new company will generate some 59 percent of its sales from electrical businesses, with hydraulic, aerospace and truck markets together making up the rest.

The deal will also help Eaton diversify geographically, said Catherine Avery, chief executive officer of CAIM LLC, which holds shares of the company.

"They're going to dominate that electrical power equipment segment," she said. "It's taking a long-term point of view and saying, 'There are areas of the globe that are expanding and when we do get into a better economic environment, we're going to be there.'"

Eaton said the deal is expected to reduce 2013 operating earnings by 10 cents a share but add to earnings thereafter.

Eaton has secured a $6.75 billion bridge financing commitment from Morgan Stanley and Citibank to pay for the cash portion of the deal. It said it plans to issue new debt, use cash on hand and possibly sell some assets to pay down the loan.

Eaton last year had an effective worldwide tax rate of 12.9 percent, up from 9.5 percent in 2010, and had a tax credit in 2009, according to a filing with the U.S. Securities and Exchange Commission.

The company's U.S. federal income taxes in 2011 totaled $85 million, with an additional $2 million in U.S. state and local taxes, on U.S. profits of $375 million.

Its foreign taxes in 2011 came to $186 million on foreign profits of $1.18 billion.

Other large U.S.-listed industrial stocks were higher across the board on Monday. Parker Hannifin Corp shares were up 3 percent at $82.99, Emerson Electric stock was up 1.9 percent at $46.78, and General Electric Co was up 1.1 percent at $19.15. Hubbell was up 4.7 percent at $76.49, and Acuity jumped 6.8 percent to $53.10.

Citi and Morgan Stanley advised Eaton on the deal, while Goldman Sachs advised Cooper.

The two leaders met on the sidelines of a high-stakes NATO summit consumed by the question of the alliance's withdrawal from Afghanistan by the end of 2014, and its role beyond that date. ?Obama has made it known he wants leaders gathered here to sign off on a plan to hand over combat duties to Afghan forces in 2013.

"There will be no rush for the exits," NATO Secretary General Anders Fogh Rasmussen told reporters as the summit opened, saying the alliance's plan was sound and vowing to "see it through to a successful end."

Specific dollar amounts are not expected in Chicago, but a July donors conference in Tokyo should spell those out. The price tag for Afghan forces after 2014 is estimated to be $4.1 billion per year. Afghanistan is expected to pay $500 million of that. Karzai has said his country will need at least $10 billion per year in overall aid through 2025.

Obama looked ahead to a future?"in which we have ended our combat role, the Afghan war as we understand it is over, but our commitment to friendship and partnership with Afghanistan continues" and evoked ?"a shared vision that we have in which Afghanistan is able to transition from decades of war to a transformational decade of peace and stability and development."

Obama underlined "the enormous sacrifices that have been made by the American people, most profoundly by American troops, as well as the troops of our other coalition partners" and said Americans "recognize the hardship that the Afghan people have been through."

"The loss of life continues in Afghanistan. There will be hard days ahead. But we're confident that we're on the right track," he said.

"Afghanistan is fully aware of the task ahead and of what Afghanistan needs to do to reach the objectives that we all have, of a stable, peaceful and self-reliant Afghanistan. In the meantime, until then, thank you for your support," Karzai said.

Among the challenges Obama's strategy faces: French President Fran?ois Hollande isn't budging from his campaign pledge to withdraw his country's roughly 3,600 combat troops by the end of 2012 ? one year sooner than his predecessor Nicolas Sarkozy had planned. Hollande suggested after talks with Obama at the White House on Friday that French forces could stay on to help train Afghan military and policy, but reiterated that an end to their combat role was "not negotiable."

Obama faces dual pressures at home: The war-weary American public wants out of Afghanistan, the country's longest war, but Republicans have blasted the president for setting a departure date, saying this will only embolden Islamist fighters and lead friendly Afghans to hedge their bets.

Mitt Romney, in an op-ed for the Chicago Tribune, accused Obama of failing to show leadership inside NATO and of putting America "on a path to a hollow military" and said he would reverse both trends. He did not detail his own Afghanistan policy.

If you have read my previous writing, you know that up until recently, I would have said, "Dividend growth stocks." However, I have now come to the conclusion that I would also include ownership of gold bullion.

Can dividend growth investors actually have anything in common with investors who own physical gold? Yes, as we will see, they have a number of things in common.

Why Everyone Should Own Gold Bullion

Do you believe in the importance of owning health, car, home or life insurance? If your answer is yes, then you need to consider owning gold bullion. Gold bullion is an insurance policy against a future financial crisis.

The great thing about gold bullion is that it isn't just a promise from an insurance company, or a promise from a country (paper money), it is a currency unto itself from the time before we created paper money. Don't forget, our currency is no longer backed by gold bullion or even paper money anymore. These days, our money is theoretical and sits as a bunch of data on computers. While I do not intend to engage in "fear mongering" and list all of the potential disasters that could occur, just remember that insurance is always purchased with the hope that you will never need it - the prudent "hope for the best, but plan for the worst."

While interest in gold and dividend growth investing has increased recently, both groups are used to being misunderstood/ridiculed for their investment decisions but have the strength of character to persevere.

4. The Best Offense is a Good Defense

Both investments are defensive, but will perform well in periods of inflation of deflation.

Mixed Metaphors

So, how can dividend growth investors easily get their hands on gold bullion? Gold Bullion International, in partnership with Gold Resources Corporation (GORO) is now offering a program where you can elect to have any stock's dividends paid out in 1-ounce "Double Eagle" gold or silver coins.

There are a couple additional points to note:

  1. To sign up for the program, each stock must be registered in your name and not that of a brokerage firm.
  2. In order to receive payment in coins, your dividend payment must at least equal the price of an ounce of silver or gold. If it is not, the dividends will accrue until you have enough for a one-ounce coin to be sent to you.

I realize that NLY is not really a dividend growth stock; however, it is widely held by dividend investors, and I decided to use it as an example of a stock with a higher percentage (13.3%) dividend.

Conclusion

As we have seen from the chart above, it is unlikely that most people will be able to receive a gold bullion coin from a single stock position. However, most people don't just own one stock; by investing in monthly-paying dividend stocks, even investors who don't own enough of a single stock can still arrange their portfolio to receive coins quite regularly. Receiving your dividends in bullion coins is not for everyone, though, and there are many other ways to acquire bullion. Additionally, taking part in this program does mean that you miss out on the power of compounding. However, as David Van Knapp and others have shown, reinvestment of dividends is not for everyone and this may fit your personal investment goals.

I am not giving up on stocks or dividend growth investing, but I do believe in diversifying my investments in a way that allows me to sleep comfortably. What you decide to do is up to you.

Chinese activist who fled house arrest heads to US

BEIJING (AP) ? A blind Chinese legal activist was hurriedly taken from a hospital and put on a plane for the United States on Saturday, closing a nearly monthlong diplomatic tussle that had tested U.S.-China relations.

Chen Guangcheng, sitting in a wheelchair and accompanied by his wife and two children, boarded United Airlines Flight 88 for the 12-hour flight to Newark, outside New York City, a few hours after Chinese authorities suddenly told him to pack and prepare to leave.

"Thousands of thoughts are surging to my mind," Chen said at the airport. His concerns, he said, included whether authorities would retaliate for his negotiated departure by punishing his relatives left behind. It also is unclear whether the government will allow him to return.

A self-taught legal activist, Chen asked his supporters and others in the activist community for their understanding of his desire to leave the front lines of the rights struggle in China.

"I am requesting a leave of absence, and I hope that they will understand," he said.

The Chens' departure to the United States marks the conclusion of nearly a month of uncertainty and years of mistreatment by local authorities for the activist.

After seven years of prison and house arrest, Chen made a daring escape from his rural village in late April and was given sanctuary inside the U.S. Embassy, triggering a diplomatic standoff over his fate. With Secretary of State Hillary Rodham Clinton in Beijing for annual high-level discussions, officials struck a deal that let Chen walk free, only to see him have second thoughts, forcing new negotiations that led to an agreement to send him to the U.S. to study law ? a goal of his ? at New York University.

Moments after his departure from Beijing, State Department spokeswoman Victoria Nuland confirmed that Chen was en route to the U.S. and praised the quiet negotiations that freed him.

"We are looking forward to his arrival in the United States later today," Nuland said in a statement. "We also express our appreciation for the manner in which we were able to resolve this matter and to support Mr. Chen's desire to study in the U.S. and pursue his goals."

The White House also said it was pleased with the outcome of negotiations between the Chinese government and the State Department that allowed Chen to leave China with his family.

"We are pleased at this development," said Ben Rhodes, deputy national security adviser, who spoke with reporters at Camp David, the presidential retreat where President Barack Obama is hosting the Group of Eight summit.

China's Foreign Ministry said it had no comment. The government's news agency, Xinhua, issued a brief report saying that Chen "has applied for study in the United States via normal channels in line with the law."

Chen's supporters welcomed his departure. "I think this is great progress," said U.S.-based rights activist Bob Fu. "It's a victory for freedom fighters."

The 40-year-old Chen is emblematic of a new breed of activists that the Communist Party finds threatening. Often from rural and working-class families, these "rights defenders," as they are called, are unlike the students and intellectuals from the elite academies and major cities of previous democracy movements and thus could potentially appeal to ordinary Chinese.

Chen gained recognition for crusading for the disabled and for farmers' rights and fighting against forced abortions in his rural community. That angered local officials, who seemed to wage a personal vendetta against him, convicting him in 2006 on what his supporters say were fabricated charges and then holding him for the past 20 months in illegal house arrest.

Even with the backstage negotiations, Chen's departure came hastily. Chen spent the last two and a half weeks in a hospital being given medical treatment for the foot he broke escaping house arrest. Only on Wednesday did Chinese authorities help him complete the paperwork needed for his passport.

Chen said by telephone Saturday that he was informed at the hospital just before noon to pack his bags to leave. Officials did not give him and his family passports or inform them of their flight details until after they got to the airport.

Seeming ambivalent, Chen said that he was "not happy" about leaving and that he had a lot on his mind, including worries about retaliation against his extended family back home. His nephew, Chen Kegui, is accused of attempted murder after he allegedly used a kitchen knife to attack officials who stormed his house after discovering Chen Guangcheng was missing.

"I hope that the government will fulfill the promises it made to me, all of its promises," Chen said. Such promises included launching an investigation into abuses against him and his family in Shandong province, he said before the phone call was cut off.

Chen's expected attendance at New York University comes from his association with Jerome Cohen, a law professor at the university who advised Chen while he was in the U.S. Embassy. The two met when the activist went to the United States on a State Department program in 2003, and Cohen has been staunch advocate for him ever since.

"I'm very happy at the news that he's on his way and I look forward to welcoming him and his family tonight and to working with him on his course of study," Cohen said.

Much as Chen has said he wants return to China, it remains uncertain whether the Chinese government would bar him, as they have done with many exiled activists.

"Chen's departure for the U.S. does not and should not in any way mark a 'mission accomplished' moment for the U.S. government," said Phelim Kine, a senior Asia researcher at Human Rights Watch. "The harder, longer term part is ensuring his right under international law to return to China when he sees fit."

Wu'er Kaixi, an exiled dissident who is on China's list of most wanted student leaders for the 1989 Tiananmen Square demonstrations, made a third unsuccessful attempt Saturday to turn himself in at a Chinese Embassy, this time in Washington, D.C.

However, Chen's friends and supporters cheered Chen's departure. Teng Biao, who had urged Chen after he left the U.S. Embassy to leave China for his personal safety, welcomed the family's departure.

"I feel happy that he and his family can have a normal, free life in the United States with their safety ensured," Teng said.

Nanjing activist blogger He Peirong, who picked Chen up outside his rural village after his escape and spirited him to Beijing, said, "I hope that this will be a good beginning."
